Grant of License: Crescent and Sparrow grants User a non-exclusive, non-transferable license to use this website or application provided by Crescent and Sparrow (the “Product”) for personal, non-commercial use, subject to the terms and conditions of this Agreement. Intellectual Property: The Product and any accompanying documentation are protected by intellectual property laws and are the sole property of Company. User acknowledges and agrees that no ownership rights are transferred by this Agreement. Restrictions: User shall not: (a) modify, adapt, or create derivative works of the Product; (b) reverse engineer, decompile, or disassemble the Product; (c) remove or alter any copyright, trademark, or other proprietary notices; (d) share, distribute, or sublicense the Product to any third party. Limited Warranty: The Product is provided “as is” without any warranty of any kind, either expressed or implied. Crescent and Sparrow disclaims all warranties, including but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Limitation of Liability: In no event shall Crescent and Sparrow be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or performance of the Product, even if Crescent and Sparrow has been advised of the possibility of such damages. Termination: This Agreement is effective until terminated by either party. Crescent and Sparrow may terminate this Agreement immediately without notice if User fails to comply with any term of this Agreement. Upon termination, User must cease all use of the Product and destroy all copies in their possession. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Tarrant County. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Tarrant County. Entire Agreement: This Agreement constitutes the entire agreement between User and Crescent and Sparrow regarding the use of the Product and supersedes all prior agreements or understandings, whether oral or written. By using the Product, User acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
